1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Veido LLC, operating as LimeCars, governing your use of the LimeCars website (limecars.com) and all related services, programs, and features.

By accessing or using our Services, you agree to be bound by these Terms. We reserve the right to update these Terms at any time. Continued use of the Services after any modification constitutes acceptance of the revised Terms.

2. Description of Services

LimeCars provides a TLC vehicle marketplace and driver acquisition platform for Tristate area rideshare and black car professionals. Our Services include:

• Vehicle inventory listings for TLC-eligible sedans, SUVs, hybrids, and wheelchair accessible vehicles (WAV)
• Lease-to-own (L2O) vehicle programs
• Short-term and weekly vehicle lease programs
• Bring Your Own Vehicle (BYOV) program coordination
• TLC vehicle financing application processing
• Credit application submission and lender referrals
• Driver onboarding support for AAR dispatch programs
• Informational guides and resources for TLC drivers

LimeCars acts as a marketplace and service coordinator. Vehicle financing is provided by third-party lending partners. Work schedule programs are administered by CTG.

3. Eligibility

To use LimeCars Services, you must:

• Be at least 18 years of age
• Hold a valid NYC TLC driver license, or be actively in the process of obtaining one
• Provide accurate and complete information during registration and application
• Have the legal right to enter into binding contracts in your jurisdiction

We reserve the right to deny access or terminate accounts that do not meet eligibility requirements.

4. Application Process

When you submit an application through LimeCars, you agree to the following:

• All information provided in the application is true, accurate, and complete to the best of your knowledge.
• You authorize LimeCars to verify your identity, TLC credentials, and income documentation.
• For credit applications, you authorize LimeCars to submit your application to third-party lending partners.
• Submission of an application does not guarantee approval, vehicle availability, or specific financing terms.
• LimeCars reserves the right to decline any application at its sole discretion.

5. Lease and Program Terms

Specific terms for vehicle leases, lease-to-own agreements, and BYOV participation are set forth in separate written agreements executed at the time of program enrollment.

• Weekly payments are due on the agreed schedule. Late payments may incur fees as specified in your program agreement.
• Vehicles must be maintained in roadworthy condition and kept in compliance with all NYC TLC requirements at all times.
• You are responsible for maintaining TLC-compliant commercial insurance throughout the duration of any lease or program.
• Vehicles may not be sublet, transferred, or used outside of TLC-permitted commercial activities without written authorization.
• LimeCars reserves the right to terminate any lease or program agreement for material breach.

6. Credit Applications and Financial Products

LimeCars facilitates credit applications by connecting drivers with third-party lending partners. We are not a lender and do not make lending decisions.

• Financing approval, interest rates, and terms are determined solely by the third-party lender, not by LimeCars.
• LimeCars does not guarantee financing approval for any applicant.
• Lender-specific terms and conditions will be provided at the time of approval.
• Any disputes regarding financing terms must be directed to the lending partner.

7. Intellectual Property

All content on the LimeCars website is owned by or licensed to Veido LLC and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit any LimeCars content without express written permission.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• LimeCars provides its Services "as is" and "as available," without warranties of any kind, express or implied.
• LimeCars makes no guarantees regarding vehicle availability, financing approval, earning potential, or dispatch volume.
• In no event shall LimeCars be liable for any indirect, incidental, special, or consequential damages.
• Our total aggregate liability shall not exceed the amount you paid to LimeCars in the three months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties. These limitations may not apply to you in full.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County (Manhattan), New York.

Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution through direct communication for a period of 30 days.
